The terms that apply when you use Onyx services.

1. Who We Are

These Terms of Service are between you and ONYX LABS LIMITED, a company incorporated in Hong Kong with company number 78544157 ("Onyx", "we", "us", or "our").

Registered office: UNIT 2A, 17/F GLENEALY TOWER, NO.1 GLENEALY, CENTRAL, HONG KONG.

2. What These Terms Cover

These Terms apply when you access or use Onyx websites, apps, accounts, mobile service, eSIM activation, number service, wallet features, payments, card or FX features where available, Onyx ID, chat, communities, connected apps, Connect SDK integrations, support, and related services.

Some services are available only in supported regions, on supported devices, or after additional verification. Some services may be beta, invite-only, waitlist-only, suspended, unavailable, or provided through third-party service providers.

If a separate product, payment, card, developer, promotion, or provider term applies to a feature, that term also applies. If there is a conflict, the feature-specific term controls for that feature.

3. Privacy-First Service

Onyx is intended to operate as a privacy-first service. We limit collection, use, disclosure, and retention of personal data to what is needed to provide Onyx, meet legal and compliance obligations, protect accounts, prevent abuse, resolve disputes, and support recovery.

Data minimization is one of our operating rules. We do not ask you for personal data unless it is needed for a service, required by law or provider rules, necessary for security or fraud prevention, or needed to recover or support your account.

We do not sell, rent, broker, trade, or monetize personal data. We do not provide personal data to advertisers, data brokers, or investors for their independent use.

We do not require consent to unrelated personal data use as a condition of using a necessary service. If a use is optional, the relevant product surface should make that clear where practical.

Service providers receive only the information needed for the specific service they perform. Connected apps receive only the scopes, assertions, profile fields, or communication permissions you approve or direct.

You should not provide unnecessary personal data to Onyx or support. Support will not ask you to disclose private keys, seed phrases, recovery phrases, wallet backup material, one-time codes, or full card details outside approved secure flows.

4. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Onyx unless we approve a different age requirement in writing.

You must not use Onyx if you are prohibited from doing so under applicable law, sanctions rules, telecom rules, payment rules, card-network rules, export controls, or any applicable provider policy.

You are responsible for ensuring that your use of Onyx is lawful in the country or region where you access or use the service.

We may restrict or refuse access in jurisdictions, markets, regions, countries, territories, or sanctioned locations where we or our providers do not support service, where service would be unlawful, or where compliance risk is not acceptable to us.

5. Feature Availability

Some Onyx features may be generally available, beta, invite-only, waitlist-only, region-limited, provider-limited, temporarily unavailable, or unavailable to your account.

We may require additional setup, verification, provider approval, payment eligibility, device compatibility, number availability, wallet readiness, or compliance review before a feature becomes available.

The app, website, checkout, account page, verification flow, or support team may show feature availability. You should not assume that a feature is available until your account shows it as available.

6. Your Account

Your Onyx account is personal to you. You may not sell, lease, sublicense, transfer, or assign your account without our written approval.

You must provide accurate information only where it is needed for service, compliance, security, payment, verification, support, or recovery. You are responsible for activity under your account, including activity by anyone who accesses your device, credentials, session, wallet, number, or linked payment method.

You must notify us promptly if you believe your account, device, wallet, number, session, or credentials have been compromised.

We may restrict, suspend, close, or refuse to open an account if we believe it is necessary for security, fraud prevention, legal compliance, provider compliance, telecom compliance, payment compliance, sanctions compliance, abuse prevention, or product integrity.

7. Service Notices

We may send service notices about your account, subscription, activation, usage, number, payment, wallet, card, verification, connected apps, support, security, legal changes, or service availability.

Service notices are not marketing messages. You may not opt out of necessary service, security, transactional, support, or legal notices while your account remains active.

8. Onyx Mobile Network

Onyx Mobile Network provides mobile service through supported devices and third-party connectivity providers.

You are responsible for confirming before purchase that your device supports eSIM, supports required network bands, is unlocked where required, and can use the selected coverage region.

Coverage, activation, speeds, latency, network registration, carrier selection, data availability, voice availability, SMS availability, number availability, and roaming behavior can vary by country, region, local carrier, device hardware, device settings, congestion, building coverage, geography, and provider availability.

Supported coverage does not guarantee service in every location inside a supported country or identical performance between countries, carriers, buildings, transit routes, airports, rural areas, or roaming partners.

9. eSIM Activation

After checkout, Onyx may provide an eSIM activation artifact, QR code, activation code, device handoff, or manual setup instruction.

You must keep an internet connection available during activation. Depending on your device, activation may require scanning a QR code, opening cellular settings, confirming installation, enabling roaming, selecting the Onyx line for data, or restarting the device.

Activation may fail or be delayed because of device incompatibility, carrier lock status, unsupported bands, interrupted installation, Wi-Fi loss, disabled roaming, device settings, local network registration delay, provider outage, unsupported region, account restriction, or payment/verification status.

Do not delete an eSIM unless the app or support instructs you to do so. Deleting an eSIM may interrupt recovery, require reactivation, or make service unavailable.

10. Plans, Subscriptions, Renewals, And Fair Use

Onyx plans are recurring monthly subscriptions unless the app clearly says otherwise.

A plan may include a coverage region, data allowance, fair-use controls, optional number service, voice/SMS bundle, renewal cadence, and supported countries. The quote shown before checkout controls the plan you select.

Unlimited or high-allowance plans may be fair-use managed. Fair-use management may include speed changes, prioritization changes, usage controls, wallet-rated usage, suspension of abusive usage, or other limits shown in the app or plan terms.

If payment fails, verification expires, provider fulfillment fails, usage is depleted, fair-use limits are exceeded, or your account is restricted, service may pause, suspend, expire, downgrade, or require another action before it resumes.

11. Numbers, Calls, SMS, And Carrier Communication

Onyx numbers, calls, SMS, MMS, phone-network fallback, and related communication features are available only where supported.

Number availability depends on region, local telecom regulation, provider support, number inventory, plan type, verification state, account state, and supported voice/SMS coverage.

Voice and SMS plans may include monthly allowances or fair-use limits. Usage outside included allowances may require wallet balance, a visible quote, another payment method, or may be blocked.

Premium, satellite, special-service, shared-cost, directory, short-code, emergency/service-code, automated, marketing, bulk, abusive, high-cost, unknown, or unsupported routes may be wallet-rated or blocked.

Unless the app expressly says otherwise for a specific region and service, Onyx should not be relied on for emergency calls, public safety calls, or critical communications.

12. Wallet, Payments, Card, And FX Features

Wallet, payment, card, FX, swap, send, receive, settlement, and balance features are available only where supported and may be provided by third-party payment, wallet, card, blockchain, banking, liquidity, or regulated service providers.

Onyx is not a bank unless a specific regulated product term says otherwise. Wallet balances, crypto assets, stored value, card balances, FX balances, or payment entitlements may not be deposits and may not be protected by deposit insurance or equivalent protection.

Where a regulated payment, stored value, card, FX, or wallet provider supplies a feature, that provider may be responsible for the regulated service and may apply separate terms, eligibility requirements, fees, reviews, limits, freezes, reversals, disclosures, and complaint processes.

Some payment actions require identity verification, address verification, age verification, organization review, sanctions screening, fraud review, transaction review, wallet backup, wallet connection, sufficient balance, supported asset, supported chain, supported currency, supported region, or provider approval.

Regulated checks are requested only when needed for a specific action, account state, provider requirement, legal obligation, fraud review, sanctions review, or recovery step.

Transactions may be delayed, rejected, reversed, frozen, cancelled, expired, charged back, held, or reviewed because of fraud, AML, sanctions, provider rules, insufficient funds, unsupported assets, unsupported chains, incorrect destination details, network congestion, blockchain finality, card-network rules, issuer rules, chargeback risk, legal requirements, or account restrictions.

You are responsible for confirming destination addresses, chains, assets, networks, currencies, rates, fees, quotes, and settlement details before confirming a transaction. Sending assets to an unsupported address, asset, chain, or network may result in permanent loss.

We will never ask you to publicly disclose a private key, recovery phrase, seed phrase, wallet backup material, one-time code, or signing approval. You are responsible for keeping that material secure.

13. Onyx ID, Verification, And Trust State

Onyx ID manages your profile, account identity, verification state, trust state, permissions, connected apps, sessions, support posture, and access to supported Onyx services.

Some actions require additional verification. Verification may be required for payment eligibility, wallet actions, card issuance, number eligibility, telecom compliance, connected-app assertions, organization verification, recovery of sensitive account actions, sanctions review, fraud prevention, or regulated services.

Where a verification provider performs a regulated check, Onyx should receive only the status, result, eligibility signal, or operational reference needed for the requested action unless a lawful or operational need requires more.

Verification does not guarantee that every service will be available. Service availability may still depend on region, provider support, account state, transaction size, device state, risk review, or legal requirements.

Trust state is an eligibility and account-confidence signal. It is not a public social ranking and does not entitle you to unrestricted service access.

14. Connected Apps And Connect SDK

Approved apps may request scoped access to Onyx ID, profile fields, trust assertions, verification assertions, communication permissions, community permissions, session information, or app-linked messaging.

You must approve the requested access before the app receives permissioned access. You may deny, revoke, or allow permissions to expire where controls are available.

Connected-app access is scoped, visible, revocable, and purpose-limited. Connected apps do not receive unrestricted identity, wallet, payment, verification, communication, or account access.

Connected apps must comply with Onyx developer terms, scope limits, consent requirements, rate limits, webhook security requirements, messaging policy, privacy requirements, and revocation instructions.

Apps must not scrape Onyx, request excessive permissions, mislead users, send unauthorized messages, bypass consent, store data longer than permitted, sell or broker Onyx data, or use Onyx data for unrelated purposes.

15. Chat, Communities, And User Content

Onyx Chat and Communities may support direct messages, group messages, communities, channels, announcements, roles, moderation, media, files, calls, payment-linked messages, service conversations, and connected-app conversations where available.

You are responsible for content you send, post, upload, share, or make available through Onyx.

Visibility depends on your actions, thread settings, community settings, role permissions, connected-app permissions, moderation needs, and route capabilities. Other users see only what the relevant product surface, setting, thread, community, or permission allows.

You may not use Onyx for harassment, abuse, spam, impersonation, fraud, unlawful content, exploitation, malware, phishing, mass messaging, unauthorized marketing, rights infringement, or attempts to evade moderation, safety, telecom, payment, or legal controls.

We may remove content, restrict posting, limit community access, revoke roles, block messages, suspend accounts, report illegal conduct, or preserve information when we believe it is necessary for safety, legal compliance, provider compliance, service integrity, or abuse prevention.

Messages, calls, and media between Onyx users may be end-to-end encrypted where the app states that this protection applies. Fallback routes such as SMS, MMS, carrier calls, app-linked messages, support conversations, provider systems, or other non-Onyx-native routes may not have the same encryption or privacy properties.

16. Acceptable Use

You must not:

  • break the law or violate telecom, payment, card, sanctions, export, consumer, data protection, or platform rules;
  • interfere with networks, providers, systems, apps, APIs, security controls, rate limits, or other users;
  • resell, sublicense, share, pool, arbitrage, or commercially exploit service unless we approve it in writing;
  • use Onyx for spam, bulk messaging, robocalls, scraping, credential attacks, account farming, referral abuse, synthetic identities, fraud, scams, money laundering, sanctions evasion, or market manipulation;
  • reverse engineer, probe, stress test, bypass, or exploit Onyx without written permission;
  • submit false information, forged documents, unauthorized payment methods, or misleading verification materials;
  • upload malware, illegal content, rights-infringing content, or harmful code.

17. Fees, Taxes, And Payment Authorization

You authorize us and our payment providers to charge your selected payment method, wallet balance, card balance, or other supported payment rail for purchases, subscriptions, renewals, top-ups, wallet-rated usage, fees, taxes, and other amounts shown before confirmation.

Prices may include or exclude taxes depending on the region and product. You are responsible for taxes, duties, levies, or charges that apply to your use of Onyx unless we are required to collect them.

Quotes for payment, FX, card, wallet, voice/SMS PAYG, or blockchain actions may expire or change before confirmation.

18. Cancellations And Refunds

You may cancel a subscription through the app or support where cancellation controls are available. Cancellation stops future renewals unless the app states otherwise.

Fees already paid are generally non-refundable except where required by law, where the app states otherwise, or where we approve a refund because of a verified service issue. Nothing in these Terms limits non-excludable consumer rights that apply to you.

Refund eligibility may depend on whether an eSIM was issued, installed, activated, used, expired, deleted, transferred, or made unavailable because of device incompatibility, carrier lock status, unsupported bands, wrong region selection, customer error, account restriction, payment dispute, provider policy, or breach of these Terms.

We may require troubleshooting evidence, device information, screenshots, usage data, support logs, provider status, or other reasonable information before approving a refund.

Refunds may be denied for fraud, abuse, breach of these Terms, unsupported use, accidental purchase after activation or installation, incompatible device, carrier-locked device, wrong destination selection, unsupported route, chargeback abuse, sanctions or compliance restrictions, or inability to recover funds from a provider.

19. Third-Party Providers And Services

Onyx depends on third-party providers for connectivity, eSIM fulfillment, local networks, numbers, voice, SMS, payment processing, wallets, card issuance, FX, liquidity, blockchain infrastructure, verification, cloud hosting, support, analytics, security, notifications, and connected apps.

Provider disclosures are service-specific and limited to the information needed for the provider to perform the relevant service, support compliance, prevent abuse, resolve disputes, or support recovery.

Where practical, provider disclosures should use operational identifiers, limited fields, aggregation, or de-identification instead of unnecessary directly identifying information.

Third-party providers may have their own terms, rules, eligibility requirements, outages, review processes, restrictions, and data practices.

We are not responsible for third-party services outside our reasonable control, including local carrier conditions, provider outages, blockchain congestion, bank or card-network delays, issuer decisions, verification provider decisions, app behavior, destination address errors, unsupported devices, or restrictions imposed by law.

20. Intellectual Property

Onyx, the Onyx name, logos, product designs, software, documentation, websites, apps, APIs, SDKs, content, trademarks, trade dress, and related intellectual property are owned by Onyx or its licensors.

You receive a limited, revocable, non-exclusive, non-transferable right to use Onyx for your personal or approved business use in accordance with these Terms.

You may not copy, modify, reverse engineer, sell, lease, sublicense, distribute, mirror, scrape, or create derivative works from Onyx except where we expressly permit it in writing or where applicable law requires otherwise.

21. Feedback

If you send feedback, ideas, suggestions, or improvements, you allow us to use them without restriction or compensation. You confirm that your feedback does not include confidential information you are not authorized to share.

22. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, transfer, and protect personal data.

Onyx does not sell, rent, broker, trade, or monetize personal data. We disclose personal data only as described in the Privacy Policy, as directed by you, or as required or permitted by law.

You must read the Privacy Policy before using Onyx. By using Onyx, you acknowledge that personal data may be processed as described in the Privacy Policy.

23. Service Changes

We may add, change, suspend, restrict, discontinue, rename, reprice, or replace any feature, plan, coverage area, number service, wallet feature, card feature, FX feature, connected app feature, SDK feature, or support option.

Where a change materially affects an active paid subscription, we will provide notice where required by law or where reasonably practicable.

24. Disclaimers

Onyx is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

We do not guarantee that Onyx will be uninterrupted, error-free, secure, available in every region, compatible with every device, immune from provider outages, free from delays, free from signal issues, or suitable for critical communications.

We do not guarantee investment value, asset value, exchange rate, card approval, provider approval, number availability, verification approval, connected-app approval, message delivery, call completion, network quality, or transaction finality beyond what applicable law requires.

25. Limitation Of Liability

To the maximum extent permitted by law, Onyx and its affiliates, directors, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages.

To the maximum extent permitted by law, our aggregate liability for claims relating to Onyx will not exceed the greater of: (a) the amount you paid to Onyx for the affected service in the three months before the event giving rise to the claim; or (b) HKD 800.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

26. Indemnity

You agree to indemnify and hold harmless Onyx and its affiliates, directors, officers, employees, contractors, service providers, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, misuse of Onyx, unlawful conduct, content, connected-app activity, payment activity, wallet activity, or violation of another person's rights.

27. Governing Law And Arbitration

These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.

Subject to any rights that cannot be waived under applicable law, any dispute arising out of or relating to these Terms or Onyx will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted.

The seat of arbitration will be Hong Kong. The arbitration language will be English. The tribunal will consist of one arbitrator unless the HKIAC rules or the parties require otherwise.

Nothing prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

28. Changes To These Terms

We may update these Terms from time to time.

If changes are material, we will provide notice through the app, website, email, account notice, or another reasonable method. Continued use of Onyx after the effective date means you accept the updated Terms.
